Terms of Use

1. Purpose

Lounge Secreto is a service for activating and managing access to airport VIP lounges through Priority Pass™. We handle the entire process behind the scenes to activate and deliver your Pass and its accesses. The service is not a financial product, does not issue cards and has no affiliation with banking institutions or with Priority Pass™.

2. Purchase, payment and activation

Lounge Secreto sells Pass packages, each comprising a set number of Priority Pass™ Passes, contracted on an annual basis, with the period paid in full upfront and automatic renewal at the end of each cycle, unless cancelled by the user in the members' area. Users may also purchase additional packages or Passes at any time, of the same type or of different types, with the available Passes accumulating in their account. Once payment is confirmed, access to the members' area is sent to the email provided. It is the user's responsibility to provide a valid email, keep their credentials confidential and be accountable for all activity carried out in their account. A Pass is only considered activated after it has been issued and made available in the account. The services are intended for persons over 18 (eighteen) years of age and fully capable; Lounge Secreto may refuse, suspend or terminate accounts that do not meet these requirements or do not complete KYC.

3. Pass validity: activation, use and Priority Pass™

3.1. Available (non-activated) Passes: each Pass purchased must be activated within 12 (twelve) months from the date of its respective purchase. If the user renews the same package, Passes not yet activated have their activation period renewed for the new cycle, accumulating with the Passes of the renewed package. If there is no renewal, Passes not activated within the period expire automatically, with no right to a refund, restitution, compensation, transfer or extension. 3.2. Activated Pass — validity and Priority Pass™: once activated and issued through Priority Pass™, the respective card and QR Code are valid until December 31 of the year of activation, owing to the annual cycle of the program's operator. At the turn of the year, Lounge Secreto tops up the validity so that the Pass totals 12 (twelve) months from the activation date. The activated Pass remains valid until the end of those 12 months or until the included accesses and guests are used up, whichever comes first; once the term ends or the accesses are exhausted, the holder may purchase a new Pass. 3.3. Passes and accesses are personal and non-transferable. Accesses not used within the validity period expire automatically, with no right to a refund, restitution, compensation, transfer or extension.

4. Warranty and refund

There is no right to a refund after the Pass has been activated. Once the Pass has been activated, the purchase is deemed definitively fulfilled and is not eligible for a refund, in whole or in part. As a mere liberality and courtesy, without constituting an obligation or a waiver of the no-refund policy, Lounge Secreto may grant cancellation with a refund within up to 7 (seven) days from the purchase, exclusively in the event that the respective Pass has not yet been issued; once the Pass has been issued, the no-refund policy applies in full.

5. Purchase of additional packages, upgrade and downgrade

You may purchase individual Passes or new Pass packages at any time, with the available Passes accumulating in your account, without prejudice to the Passes and terms already in place, at the price in force on the date of the respective purchase. You may likewise upgrade to a higher-tier plan, in which case the proportional difference is charged, calculated based on the current activation date and the price of the new plan. Downgrading to a lower-tier plan is not permitted during the term of the purchased plan.

6. Availability and service level

The service is provided on a best-efforts basis, without any guarantee of uninterrupted or error-free availability. The platform and support channels may be temporarily suspended for maintenance, updates, security fixes or technical reasons, as well as due to events beyond our reasonable control, including acts of God, force majeure and failures of telecommunications, power or third parties. The issuance, activation and use of accesses depend on the availability of lounges, schedules, capacity and the operating conditions of the venues and of the lounge-program operator, which are defined by third parties and subject to change without prior notice. Any response times are estimates and do not constitute a promise of result.

7. Acceptable use

Access is personal, individual and non-transferable, intended exclusively for the holder of the purchase. You may not resell, assign, share, sublicense, commercialize or transfer the plan, the Passes, the accesses or the account credentials to third parties, nor use the service for any unlawful or fraudulent purpose or in breach of these terms and of the rules of the venues and of the program operator. You may also not attempt to access restricted areas, circumvent security mechanisms, automate accesses or impair the operation of the platform. Any misuse, fraud, false information or breach of these terms authorizes the immediate suspension or termination of the account and accesses, without any refund and without prejudice to any other applicable measures. For the purposes of these Terms, "account owner" means the person who makes the purchase, responsible for the account and for payment, and "Pass holder" means the natural person to whom a Pass is intended and who completes identity verification (KYC) for its respective issuance. The account owner may assign Passes to holders designated by them, exclusively through the mechanisms made available on the platform, in which case each Pass becomes personal and non-transferable with respect to its respective holder, such assignment not being confused with the prohibited resale, assignment, sharing or commercialization to third parties, which remains fully applicable.

8. Intellectual property

The Lounge Secreto brand, the domain name, the platform, the texts, layouts, images, videos and other materials made available are owned by ALAS TECHNOLOGY LLC or its licensors and are protected by intellectual property law. The purchase grants the user only a personal, limited, revocable, non-exclusive and non-transferable license to use the service for the purposes set out herein, without implying any assignment or transfer of rights. You may not copy, reproduce, distribute, modify, decompile, reverse engineer or create derivative works without prior written authorization. Priority Pass™ and other third-party trademarks belong to their respective owners and are cited for descriptive purposes only, without any affiliation, sponsorship or endorsement.

9. On the temporary international virtual card and identity verification (KYC)

9.1. Once the identity verification stage (Know Your Customer – KYC), conducted and processed by Persona Identities, Inc., has been completed and approved, a temporary international virtual debit card, issued by Exa Labs SAS in partnership with Nimbus LLC, shall be automatically generated and linked to the holder's account with Lounge Secreto.

9.2. The aforementioned card is of an exclusively temporary nature and bears no financial value or purpose whatsoever, being generated solely for compliance purposes, within the scope of the partnership maintained with Exa Labs SAS, and for any future use, subject to the products and functionalities to be made available in due course by Lounge Secreto, in accordance with the roadmap disclosed on its website.

9.3. The holder declares to be aware of and to agree that, under no circumstances, shall the card be used by Lounge Secreto or by any third party for charges, movements, debits or any financial operations on the holder's behalf, no obligation, burden or financial liability to the holder arising from its issuance.

9.4. The future functionalities that may be made available may contemplate the loading of the card, carried out exclusively and voluntarily by the holder itself by means of cryptocurrencies, for the purpose of purchases abroad at any establishments, at the holder's sole discretion, without the levy of the Brazilian Tax on Financial Operations (IOF) and in strict compliance with the national legislation applicable to the purchase and sale of crypto-assets intended for loading, whether through the Lounge Secreto platform or through third parties. Exa Labs SAS acts as the commercial partner responsible for the integration of the DeFi protocol.

9.5. For purposes of security and transparency, Lounge Secreto reiterates that the virtual card is temporary and devoid of any financial value or purpose, being intended solely for the fulfillment of compliance requirements and for the technical enablement of the project herein described. Lounge Secreto does not store card data on its servers, observing the international information security standards ISO/IEC 27001 and ISO/IEC 27701. All information relating to the card and to identity verification (KYC) remains under the possession, custody and responsibility of Exa Labs SAS and Nimbus LLC.

10. Privacy and data protection

We process your personal data in accordance with applicable data protection law, including Brazil's General Data Protection Law (LGPD), observing the principles of purpose, transparency, minimization and security. The data is used to enable the purchase, identity verification, the issuance and management of accesses, support and compliance with legal obligations. 11. Disclaimers and limitation of liability

The service is provided for activating accesses through Priority Pass™ and involves no promise of income, financial gain or guaranteed results. Third-party products and services (including the VIP-lounge program operator and the venues themselves) are subject to their own terms and conditions, for which we are not responsible, and may be subject to changes in hours, capacity or availability beyond our control. To the maximum extent permitted by applicable law, our total liability is limited to the amount actually paid for the plan.

12. Changes

These terms may be updated at any time to reflect changes to the service or to legal requirements. The version in force is always the one published on this page, with the last-updated date shown above. Continued use after changes implies acceptance of the revised version.

13. Referral and affiliate program

Lounge Secreto may offer a referral and affiliate program, through which eligible users may receive benefits or commissions for validated referrals, in accordance with the rules, eligibility criteria and payment conditions set out on the platform, subject to applicable law and liable to be amended or terminated at any time. Participation is voluntary and does not give rise to any employment, corporate or other relationship with Lounge Secreto.

14. Governing law, jurisdiction and contact

The service is operated by ALAS TECHNOLOGY LLC (EIN No. 93-3927200). These Terms are governed by and construed in accordance with the laws of the United States of America, the jurisdiction of incorporation of the aforementioned company. Any disputes shall preferably be resolved amicably and, failing that, through arbitration or the competent jurisdiction of the aforementioned jurisdiction.
